Client Responsibilities

Payment Terms

Payment terms for services will be specified in individual service agreements. General payment conditions include:

• Fees are payable in Euros (EUR) unless otherwise specified
• Payment due dates as specified in invoices or agreements
• Late payment charges may apply for overdue amounts
• All fees are exclusive of applicable taxes
• Refund policies as outlined in service agreements

Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Nordicbudgethub and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

Client Data and Deliverables

Clients retain ownership of their data and any custom solutions developed specifically for them. Nordicbudgethub retains rights to:

Third-Party Software

Use of third-party software and services is subject to their respective license terms. Clients are responsible for obtaining and maintaining appropriate licenses.

Confidentiality

We understand the sensitive nature of business information and commit to maintaining strict confidentiality. We will:

• Use confidential information only for service delivery purposes
• Not disclose confidential information to unauthorized parties
• Return or destroy confidential information upon request

Confidentiality obligations survive termination of our service relationship.

Service Availability

While we strive to maintain high availability of our Services, we do not guarantee uninterrupted access. Our Services may be temporarily unavailable due to:

• Scheduled maintenance
• Emergency repairs
• Technical difficulties
• Circumstances beyond our reasonable control

We will make reasonable efforts to provide advance notice of planned maintenance when possible.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Nordicbudgethub, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.

Our total liability for any claim arising out of or relating to these Terms or the Services shall not exceed the amount paid by you for the specific service giving rise to the claim in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless Nordicbudgethub and its licensors, employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).

Termination

We may terminate or suspend your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Service Agreement Termination

Service agreements may be terminated:

• By mutual agreement of both parties
• By either party with appropriate notice as specified in the agreement
• Immediately for material breach of contract
• For non-payment of fees

Effect of Termination

Upon termination:

• Your right to use the Services ceases immediately
• We will provide transition assistance as commercially reasonable
• Payment obligations for services rendered remain due
• Confidentiality obligations continue to apply

Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms which is due to an event beyond the reasonable control of such party, including but not limited to acts of God, natural disasters, war, terrorism, strikes, or government actions.

Governing Law

These Terms shall be interpreted and governed by the laws of Germany, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of Dortmund, Germany, and the parties hereby consent to the personal jurisdiction and venue therein.

For clients located within the European Union, nothing in these Terms affects your rights as a consumer under applicable EU consumer protection laws.

Dispute Resolution

We encourage resolution of disputes through direct communication. If a dispute cannot be resolved through negotiation, the parties agree to attempt mediation before pursuing litigation.

Any disputes that cannot be resolved through mediation shall be resolved through the courts of competent jurisdiction in Dortmund, Germany.

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Waiver and Severability

No waiver by Nordicbudgethub of any term or condition set forth in Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Nordicbudgethub to assert a right or provision under Terms shall not constitute a waiver of such right or provision.

Entire Agreement

These Terms, together with our Privacy Policy and any service agreements, constitute the sole and entire agreement between you and Nordicbudgethub with respect to the subject matter contained herein, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
